Terms of Service

1. Who we are. Luxxow Invoice is operated by Luxxow S.à r.l.-S, 12, rue Treeschheck, L-3321 Berchem, Luxembourg ("Luxxow", "we"). Registration details are on the imprint. Contact: germain@delagardelle.lu.
2. The service. Luxxow Invoice is invoicing software for Luxembourg companies: quotes, invoices, credit notes and payment reminders with Luxembourg legal mentions and VAT regimes, gapless legal numbering, trilingual documents, sending by email and over the Peppol network, receipt of e-invoices, bank statement reconciliation, and exports (PDF, UBL XML, CSV, FAIA). Each company runs in its own separate database at its own web address.
3. Beta. The service is currently in beta. During the beta it is free of charge. When paid plans start, founding companies keep a preferential price; we will tell you by email at least 30 days before anything becomes payable. Nothing becomes payable silently.
4. Your account. You must provide accurate company information — it is printed on legal documents you issue. You are responsible for keeping credentials confidential (two-factor authentication is available and recommended), for everyone you grant access to, and for using the service lawfully. We may suspend accounts used for fraud or unlawful invoicing.
5. Your data stays yours. The business data you enter — customers, products, documents — belongs to you. We process it only to provide the service, under the Data Processing Agreement. You can export everything at any time (PDF, UBL XML, CSV ledgers, the FAIA audit file and the yearly fiduciary package) without asking us.
6. Documents and their content. The software automates Luxembourg legal mentions, VAT treatment and numbering, but you remain responsible for the commercial content and correctness of every document you issue, and for confirming your VAT regime with your accountant. The service is software, not tax or legal advice.
7. Peppol. Sending and receiving over Peppol runs through a certified third-party access point (currently Recommand, Belgium). Transmission identifiers are recorded on each document. Network delivery depends on the recipient's own registration and on the Peppol infrastructure, which we do not control.
8. Availability and backups. We run the service with care but, during the beta, without an availability guarantee. Your ledger and every issued PDF are backed up nightly. We announce planned maintenance where practical.
9. Liability. Nothing in these terms excludes liability that cannot be excluded under Luxembourg law. Beyond that, our total liability for any twelve-month period is limited to the amounts you paid us for the service in that period (during the free beta: EUR 100). We are not liable for indirect damage, loss of profit, or the consequences of incorrect data you entered.
10. Ending the service. You can stop at any time. After termination you have 30 days to export your data, after which the company's database and files are deleted; backups roll off within a further 30 days. We can terminate with 30 days' notice, or immediately on serious breach.
11. Changes. We may update these terms with at least 30 days' notice by email to account holders. If you do not agree, you can terminate before the change takes effect.
12. Law and forum. These terms are governed by Luxembourg law. The courts of the district of Luxembourg have exclusive jurisdiction, without prejudice to mandatory consumer rules where they apply.
